1. Agreement to Terms

Welcome to AdeptRx, a private health organization operated by Adept Physiology LLC, a New Jersey-based company (“we,” “our,” or “us”). By purchasing, subscribing to, or engaging with any AdeptRx treatment plan, program, platform, or product (collectively, “Services”), you (“Client,” “you,” or “your”) agree to be bound by these Terms & Conditions.

AdeptRx is a physician-integrated health platform that delivers medically reviewed treatment plans and structured lifestyle execution through our proprietary digital system. We coordinate access to licensed U.S. physicians, facilitate prescription review, and implement real-world behavior change using exercise, nutrition, and adherence systems delivered through the AdeptRx App.

These Terms govern your access to and use of all Services provided by AdeptRx, including but not limited to:

  • Weight loss treatment plans (GLP-1 Essentials™)

  • Hormone-based therapies 

  • Prescription products for hair, skin, and peptides

  • Supplement sales (over-the-counter)

  • App-based lifestyle implementation and tracking

  • Provider-facilitated prescription pathways

  • Optional services (Adept Performance™)

If you do not agree with any provision in these Terms, do not proceed with purchase or use of Services.

 

 

2. Eligibility & Scope

To be eligible for any AdeptRx program, you must:

  • Be at least 18 years of age

  • Be a legal resident of the United States

  • Reside in a state where your selected treatment is available

  • Complete medical review and clearance by a licensed U.S. physician assigned to your case

  • Accurately complete all required forms and consents

Access to services may be denied or revoked at any time based on physician discretion, clinical ineligibility, or breach of these Terms.

 

 

3. Nature of Services

AdeptRx offers structured treatment plans that include:

  • Clinical review by U.S.-licensed physicians via our physician partner network

  • Prescription fulfillment by accredited U.S. compounding pharmacies

  • Implementation guidance delivered through the proprietary AdeptRx App

  • Optional upgrade pathways for tailored exercise and nutrition oversight

AdeptRx does not diagnose, treat, or prescribe.
 All medical care is provided solely by third-party physicians licensed in the client’s state.

Medications are not guaranteed.
 The display of medications, treatment plan names, or references to specific compounds (e.g., semaglutide, tirzepatide, estradiol, testosterone) are provided solely for the purpose of describing potential treatment pathways. Final decisions regarding dosage, prescription, or treatment eligibility are made exclusively by the physician following medical review.

No outcome is guaranteed, including but not limited to weight loss, hormonal balance, symptom resolution, or performance improvement.

 

 

4. Payment Terms

All Services offered through AdeptRx require full payment prior to physician review, program access, or treatment delivery. By submitting payment, you authorize AdeptRx (Adept Physiology LLC) to collect fees via secure third-party processors (including but not limited to Shopify, Stripe, and Loop) for any selected treatment plan or product.

AdeptRx offers two primary formats:

(a) Ongoing Treatment Plans

These are ongoing monthly treatment plans that include physician review, medication fulfillment (if approved), and structured implementation through the AdeptRx App. These plans continue on a month-to-month basis unless canceled by the client or terminated by clinical discretion.

There is no option to pause treatment plans. Clients may cancel at any time through their account portal. Upon cancellation, future charges will cease, but prior charges remain non-refundable.

(b) Single-Cycle Treatment Orders

Includes:

  • Prescription products such as peptides, hair restoration compounds, and select skin formulations

These are not recurring plans and are processed per physician review and approval. Fulfillment is contingent on medical eligibility and compliance with intake protocols.

(c) Supplement Sales

Over-the-counter supplements may be purchased independently and do not require physician review. These products are not part of any treatment plan.

 

 

5. Refund Policy

All payments made to AdeptRx are final and non-refundable, except in cases where a client is clinically disqualified by a reviewing physician.

If a physician determines that you are not eligible for treatment, you may be issued a partial refund. AdeptRx will retain a non-refundable amount equal to the administrative, provider, and platform costs incurred in the course of initiating your review.

Refunds will not be granted under the following conditions:

  • You decline to sign required waivers or consents

  • You fail to complete onboarding steps or upload required lab work

  • You are disqualified due to state-based restrictions or inaccurate submissions

  • You voluntarily discontinue the program after clearance or medication is issued

  • You fail to access the AdeptRx App or use provided tools

All refund decisions are final. You are responsible for reading all treatment plan requirements prior to purchase.

 

 


6. Program Access & Client Responsibilities

Access to any AdeptRx treatment plan or service is granted only after the following steps are completed:

  • Full payment is received

  • Required intake forms, waivers, and consents are signed

  • Medical review is completed by an assigned physician

  • You are determined to be clinically eligible for treatment

Once these steps are complete, you will receive:

  • Access credentials to the AdeptRx App (Select treatments)

  • Any approved prescription(s) via a licensed compounding pharmacy

  • Instructions or guidance related to your specific treatment plan

Client Responsibilities

By enrolling in an AdeptRx treatment plan, you agree to:

  • Complete all onboarding requirements truthfully and promptly

  • Follow physician and platform guidance to the best of your ability

  • Communicate any changes to your health, medications, or symptoms that may impact your treatment plan

  • Not share access to the AdeptRx App or use it for any purpose other than your approved plan

  • Not misuse, redistribute, or alter any prescription medication provided

  • Not use the platform to seek unauthorized or off-label medication

Violation of these responsibilities may result in immediate removal from the program, termination of access, and forfeiture of any future services or refunds.

 

 

7. Risk Acknowledgment & Assumption of Liability

By enrolling in any AdeptRx treatment plan, you acknowledge and accept the following:

  • All prescription medications carry inherent risks, including but not limited to: nausea, hypoglycemia, allergic reaction, hormonal fluctuations, gastrointestinal distress, mental health changes, and serious adverse events including death.

  • All exercise and nutrition plans, including those delivered through the AdeptRx App or under Adept Performance™, carry risks of physical injury, fatigue, emotional disruption, or worsened health if misused, neglected, or performed without proper context.

  • Participation in any AdeptRx treatment plan is voluntary and undertaken at your own risk. You assume full responsibility for any and all reactions—physical, psychological, or otherwise—that may result from medical treatment, lifestyle intervention, or digital guidance.

  • You may be required to complete lab testing, screening, or periodic reviews to maintain eligibility for continued participation.

  • No outcome is guaranteed, including weight loss, improved biomarkers, hormone balance, or aesthetic change. All results are dependent on adherence, biology, physician discretion, and personal responsibility.

You further agree and understand that:

AdeptRx does not diagnose, prescribe, or treat any medical condition.
 All clinical decisions are made solely by licensed physicians. AdeptRx serves as a digital platform for secure onboarding, physician integration, prescription routing, and optional lifestyle implementation.

To the fullest extent permitted by law, you hereby waive and release all claims against Adept Physiology LLC, its officers, employees, partners, and contractors for any injury, loss, disability, or death that may result from use of its services—including but not limited to medication access, physician decisions, mobile application use, habit tracking, exercise programming, or nutrition guidance.

 

 

8. Termination of Service

AdeptRx reserves the right to suspend or terminate your access to the platform or any treatment plan at any time, without refund, under the following conditions:

  • Violation of these Terms & Conditions

  • Failure to complete required intake or clinical steps

  • Misrepresentation of health status or identity

  • Evidence of medication misuse, diversion, or abuse

  • Threats, harassment, or abuse toward staff, providers, or support personnel

  • Repeated failure to comply with program expectations or physician instructions

Termination decisions are at the sole discretion of AdeptRx and its clinical partners. Access may also be revoked due to changes in legal, regulatory, or licensing constraints.

 

 

8A. Telehealth Structure & Platform Role

AdeptRx is a private health organization that facilitates medically supervised treatment plans through licensed U.S. physicians and delivers structured lifestyle execution through our proprietary digital platform.

All medical evaluations, prescription decisions, and clinical eligibility determinations are performed by independent, licensed providers operating within our physician network. While these providers communicate with clients via portals and interfaces branded as AdeptRx, all medical services are rendered solely at the discretion of the assigned physician, in accordance with applicable telehealth laws.

AdeptRx does not employ physicians, prescribe medications, or provide medical care directly. We coordinate the clinical review process and deliver structured lifestyle implementation, educational materials, and progress systems through the AdeptRx App.

Telehealth services may be conducted asynchronously, by phone, or via video, depending on your state of residence and applicable regulations.

As a private health organization, AdeptRx bridges the gap between clinical review and long-term execution by integrating prescription pathways, adherence support, and structured behavioral change—all under one unified digital system.

 

 

9. Arbitration & Governing Law

You agree that any dispute, claim, or controversy arising out of or relating to these Terms, your treatment plan, or any product or service provided by AdeptRx shall be resolved by final and binding arbitration, rather than in court, except for claims that qualify for small claims court.

Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA). You waive the right to participate in any class action or class-wide arbitration. All claims must be brought in an individual capacity.

Governing Law:
 These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles. You agree that any arbitration or legal proceeding shall take place in New Jersey, and you consent to personal jurisdiction and venue therein.

 

 

10. Limitation of Liability

To the fullest extent permitted by law, Adept Physiology LLC (AdeptRx), its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages—including but not limited to lost profits, lost data, personal injury, emotional distress, or wrongful death—arising from or related to:

  • Use or misuse of the AdeptRx App

  • Physician-directed prescriptions

  • Program implementation

  • Physical or emotional effects of nutrition or exercise plans

  • Medication reactions or denial of access

In no event shall the total liability of AdeptRx exceed the amount you paid for the treatment plan or product giving rise to the claim.

 

 

11. Changes to Terms

AdeptRx reserves the right to modify, amend, or update these Terms at any time without prior notice. Continued use of the platform or services after such changes constitutes your agreement to the revised Terms.

The most current version of these Terms will always be accessible on our website. Clients are encouraged to review them periodically.
